[CodingPlanX.AI] Credit Card Auto-Pay Service Agreement

Service Provider (hereinafter referred to as "the Company"): CodingPlanX
Service User (hereinafter referred to as "the User"): Registered users who check to agree to this Agreement
Welcome to the credit card auto-pay service (hereinafter referred to as "this Service") provided by CodingPlanX. Before activating this Service, please be sure to read all the terms of this Agreement carefully. By checking "Agree," "Activate," or by binding a credit card on the page, you are deemed to have fully understood and accepted all the contents of this Agreement.
Article 1 Authorization and Activation
- Authorization Confirmation: The User hereby irrevocably authorizes the Company to deduct the corresponding amounts directly from the User's bound credit card account via the payment API provided by third-party payment institutions (or banks) when the User incurs related fees (including but not limited to API call fees, subscription fees, excess resource usage fees, etc.) while using [Product/Service Name].
- Password-Free Deduction: This Service is an automatic, password-free deduction service. When deducting funds, the Company is not required to send confirmation instructions such as payment password verification or SMS verification to the User, and has the right to initiate the deduction directly.
- Card Binding Requirements: The User must ensure that the bound credit card is legally owned by themselves (or their enterprise), is in normal status, and has a sufficient credit limit. The User shall bear the relevant responsibilities for any deduction failure caused by the credit card being expired, reported lost, canceled, having insufficient balance/limit, or being frozen.
Article 2 Deduction Rules and Billing Cycle
- Scope of Deduction: The Company will only initiate a deduction when the User generates an actual bill or according to the agreed subscription cycle (e.g., monthly, annually).
- Deduction Time:
- Subscription-based (if applicable): The deduction will be initiated within [X] hours before or on the expiration date of each billing cycle.
- Pay-as-you-go / API Call Billing (if applicable): Real-time deduction will be triggered within 1 business day after the bill is generated, or when the unsettled bill amount reaches the threshold of 5 CNY/USD.
- Exchange Rates and Handling Fees: If cross-border payments or cross-currency settlements are involved, the deducted amount will be calculated based on the real-time exchange rate of the third-party payment institution or the issuing bank on that day. Any resulting currency conversion fees or overseas transaction fees shall be borne by the User.
- Deduction Notification: After a successful or failed deduction, the Company will notify the User of the deduction result via the system's internal message, bound email, or SMS.
Article 3 Deduction Failure and Arrears Processing
- If the deduction fails due to the User's credit card, the Company's system will attempt to deduct again after 24 hours (up to 3 retries).
- If the deduction still fails after multiple retries, the Company reserves the right to take the following measures:
- Suspend or restrict the User's access to the [Product/Service Name] API;
- Freeze the User's account and related services;
- Reserve the right to claim the arrears and overdue liquidated damages from the User.
- After the User pays off the arrears and updates valid credit card information, the service will return to normal once the system confirms receipt of the payment.
Article 4 Information Security and Privacy Protection
- PCI-DSS Compliance: The Company promises that the User's sensitive credit card information (such as the full card number and CVV security code) will be directly received and encryptedly stored by third-party payment gateways (such as Payermax, Stripe, Alipay, WeChat Pay, etc.) that are PCI-DSS (Payment Card Industry Data Security Standard) certified.
- Tokenization: The Company's system only saves the security token generated by the payment gateway and the last four digits of the card number (for display purposes) via API. The Company will never touch or retain the User's complete sensitive credit card information.
- Privacy Protection: The Company will strictly comply with relevant privacy policies. Except as necessary to perform this Auto-Pay Agreement, the Company will never disclose the User's bound card information to any third party unrelated to this Service.
Article 5 Cancellation and Termination of Service
- Voluntary Cancellation by User: The User has the right to unbind the credit card or turn off the auto-pay service at any time on the [Console - Payment Settings] page of [CodingPlanX].
- Effective Time of Cancellation: The cancellation instruction will take effect within 1 hour after the User's successful operation. The User is still obligated to pay for any bills generated or deduction instructions initiated before the cancellation takes effect.
- Arrears Restriction: If there are still unsettled arrears in the User's account, the User must settle the arrears before successfully unbinding the credit card.
Article 6 Dispute Resolution and Refunds
- Billing Disputes: If the User objects to the deducted amount, they should contact the Company's customer service (Email: [Your Customer Service Email]) within 3 business days after the deduction occurs and provide relevant proof. The Company will verify the issue within 3 business days of receiving the objection.
- Refund Rules: If it is verified that the over-deduction was indeed caused by a system failure of the Company, the Company will refund the over-deducted amount to the User's credit card account through the original payment channel. The refund arrival time depends on the issuing bank's regulations (usually 3-15 business days).
- Disclaimer: Any fees incurred due to malicious API calls resulting from the leakage of the User's own API key or logic errors in the User's code shall be borne by the User, and the Company will not issue a refund.
Article 7 Modification of the Agreement and Others
- Agreement Modification: The Company reserves the right to modify this Agreement based on business development or changes in laws and regulations. Users will be notified of the modified Agreement [X] days in advance via website announcements, emails, or system notifications.
- Continued Use: If the User does not agree with the modified terms, they should immediately stop using this Service and turn off the auto-pay; if the User continues to keep the card bound or continues to use the Service, it shall be deemed as agreeing to the modified Agreement.
- Governing Law: The establishment, effectiveness, performance, and dispute resolution of this Agreement shall be governed by the laws of [Your Company's Country/Region, e.g., the People's Republic of China]. In case of any dispute between the two parties, it should be resolved through friendly negotiation; if negotiation fails, either party may file a lawsuit with the competent court at the Company's location.
Note: This Agreement is a supplement to the CodingPlanX "Terms of Service" and "Privacy Policy". For matters not covered in this Agreement, the provisions of the main agreements shall prevail.
